Please read these Terms of Service carefully before using ShiftSummary. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the service.
ShiftSummary ("we," "us," or "our") provides an automated messaging platform that converts caregiver shift notes into SMS notifications delivered to authorized family members and contacts of home care clients. ShiftSummary is designed exclusively for use by licensed home care agencies ("Agencies").
To use ShiftSummary, you must be a representative of a licensed home care agency operating in compliance with all applicable laws. By creating an account, you represent that:
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
ShiftSummary sends automated SMS messages to family members and authorized contacts on behalf of your agency. As an Agency using our platform, you agree to:
Recipients may opt out at any time by replying STOP to any message. ShiftSummary will automatically honor opt-out requests. Agencies are responsible for ensuring their intake and consent processes comply with applicable regulations.
ShiftSummary acts as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA) for Agencies that qualify as Covered Entities. A Business Associate Agreement (BAA) is provided with all ShiftSummary plans and is incorporated into these Terms by reference.
ShiftSummary is not a medical records system or electronic health records (EHR) platform and does not replace your existing care management software. Agencies are solely responsible for ensuring their use of ShiftSummary complies with HIPAA and all other applicable healthcare regulations.
You agree not to use ShiftSummary to:
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as required by law or as stated at the time of purchase. We reserve the right to change pricing with at least 30 days' advance notice to account holders.
Failure to pay may result in suspension or termination of your account and loss of access to the platform.
ShiftSummary and its original content, features, and functionality are owned by ShiftSummary and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the platform without our express written permission.
You retain ownership of the shift notes and data you submit through the platform. By submitting content, you grant us a limited license to process and transmit that content solely to deliver the services described in these Terms.
ShiftSummary is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We make no warranty that the service will meet your specific requirements.
ShiftSummary is not responsible for the content of caregiver shift notes or for any decisions made by family members or agencies based on the messages delivered through our platform.
To the fullest extent permitted by law, ShiftSummary shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless ShiftSummary and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your failure to obtain proper consent from message recipients.
Either party may terminate these Terms at any time. You may cancel your account through the platform or by contacting us at hello@shiftsummary.com. We may suspend or terminate your access immediately for violations of these Terms or applicable law. Upon termination, your right to use the platform ceases and we may delete your account data in accordance with our data retention practices.
We may update these Terms from time to time. We will notify account holders of material changes by email or through the platform at least 14 days before changes take effect. Continued use of ShiftSummary after the effective date constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the United States and the state in which ShiftSummary is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
